Terms of service.
The term of this Agreement will begin on the date of which this Agreement is signed and will remain in full force and effect until the completion of Services, subject to earlier termination as provided in this Agreement.
The term may be extended within the written consent of the Parties.
In the event that either Party wishes to terminate this Agreement prior to the completion of the services, the party will be required to provide five days written notice to the other party. All work completed to date will be invoiced to the Client and full compensation is required.
A 50% deposit of the first phase, is payable to Design Shop upon the execution of this Agreement. Work will not commence until payment is received.
For the remaining amount, the Client will be invoiced as follows:
Progress payments monthly.
Invoices submitted by Design Shop to the Client are due upon receipt, unless otherwise noted and may be satisfied with any of the following payment options:
By paying by paper cheque, EFT, in cash, or e-transfer sent to hello@design—shop.com, at which time a receipt can be generated for you upon request.
By using a credit card online, provided that the client understands that by entering payment the client agrees to pay the entire payment amount for the bill selected, and authorizes the firm to charge the client’s designated payment method for the payment amount.
The compensation as stated in this agreement does no include gst. GST will be added to all progress invoices. Design Shop will also be reimbursed for reasonable printing and courier costs as they pertain to this project.
Any late payments will trigger a fee of 1.5% per month on the amount still owing.
Once services are engaged the client recognizes that they are contractually bound to The Design Shop Inc for their entire fee. All fees paid are nonrefundable and must be paid in full.
It is further understood and agreed that if client or any third party paying professional fees for client pays fees through the use of a debit card, credit card, or other electronic means, such payments cannot be revoked or reversed in any manner by the client.
Trade secrets include but are not limited to any data or information, technique or process, tool or mechanism, formula or compound, pattern or test results relating to the business of the Client, which are secret and proprietary to the Client and which give the business a competitive advantage where the release of that Trade Secret could be reasonably expected to cause harm to the Client.
Design Shop Inc agrees they will not disclose, divulge, reveal, report or use, for any purpose, any Trade Secrets which Design Shop has obtained, except as authorized by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
All intellectual property and related material this is developed or produced under this Agreement including but not limited to drawing packages and specifications, will be the property of The Design Shop Inc. The Client is granted non-exclusive limited-use license of this Intellectual Property. All variations and modifications to work shown on the drawings shall not be carried out without notifying The Design Shop Inc.
Title, copyright, intellectual property rights and distribution rights of the Intellectual Property remain exclusively with The Design Shop Inc unless otherwise agreed upon by The Design Shop Inc.
In providing the Services under this Agreement it is expressly agreed that The Design Shop Inc is acting as an independent contractor and not as an employee. The Design Shop Inc and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.
The client/general contractor is responsible for the application and coordination of any/all necessary permits (including but not limited to building permits and occupancy permits).
Refund Policy
The Design Shop Inc has a no return, no refund policy due to our company being service based. In the event that either Party (client or The Design Shop Inc) wishes to terminate their agreement prior to the completion of the services, the party will be required to provide five days written notice to the other party. All cancellation requests must be written to hello@design—shop.com.
In the event of a cancellation, payment of all work to date, up to and including the five days notice is required. By accepting our terms of service you give up your right to request a refund and understand that you may not chargeback your purchase.
